Purpose of Job:
The Corporate Development Manager is responsible for managing the execution of the Mergers & Acquisitions (M&A) strategy set forth by the Investment Committee (IC). This role will manage the M&A screening process, financial and strategic diligence, business valuation, IC memo submission, and buy-side and sell-side processes on behalf of the Finance Department and in support of Supply and Operations/Distributor Operations Inc.
Job Components:
Own screening of independent and Company-owned distributors as potential M&A targets and manage the execution of M&A activity, with the goal of optimizing the portfolio of Interstate Owned Territories (IOT) in alignment with the Companys objectives.
Oversee the development of IC memos for all contemplated transactions, including the evaluation of strategic fit, operational strength, deal terms, and alignment with Supply and Operations/Distributor Operations Inc. leadership.
Lead due diligence and valuation processes, including oversite and coordination of diligence, crafting detailed information request lists, and drafting/reviewing internal memorandums.
Manage the processing of historical financial information and preparation of detailed financial forecasts and valuation models.
Provide thought leadership around negotiation strategy and tactics based on deep knowledge of the business/operations and any relationships at stake.
Own the execution of all closing documents to finalize the sale of the business, as well as the procurement of the proceeds due to the seller.
Observe the process of physically auditing distributorships, which is to be performed by personnel within Supply & Ops and Partner Results, during the transaction process and leverage audit findings to refine the distributorship valuation when IOT is buyer or seller.
Produce presentations and other memos to foster alignment throughout the organization.
Engage and oversee the development of junior Corporate Development and Finance Team Members.
Lead the development and periodic refresh of Interstate Batteries network ownership strategy, with input from cross-functional stakeholders (including Finance, Distributor Operations, Commercial, and Supply Chain), to achieve alignment with the Investment Committee and the Executive Leadership Team.
Plan and lead monthly Investment Committee meetings, including preparation of content on in-progress transaction updates, recommendations on planned acquisition offers, etc.
Manage the negotiation of the sale or purchase of IOT distributorships, including engagement with Distributor owners (in partnership with the Distributor Operations Team) on the negotiation of sale/purchase.
Qualifications:
Bachelor of Finance, Economics, Accounting, or other technical discipline. MBA preferred .
5+ years of professional finance experience.
Experienced professional with 3+ years of experience in a private equity, investment banking, or corporate M&A position.
Required experience in due diligence activities and analysis.
Experienced in valuation analytics and valuation metrics.
Expert Excel experience especially in complex financial modeling and strong use of other MS products (Word, PowerPoint, and Outlook).
Experience working with large sets of data.
Distribution and supply chain experience preferred .
Strong communication and presentation skills with the ability to negotiate and influence peers.
Possess an analytical approach to work with a strong attention to detail.
Exceptional problem-solving skills and initiative.
Self-starter with demonstrated ability to work in a team environment and independently.
Knowledge of legal, regulatory, and compliance considerations in M&A transactions.
Strong organizational skills with the ability to manage multiple priorities and deadlines under minimal guidance.
Proficient project management skills with the ability to coordinate multiple workstreams across cross-functional teams.
