Summary

This position has the option to work virtually. Must reside in the state of WA, OR, ID.

The Contracts Specialist manages projects, performs due diligence, reviews and prepares contracts. This position encompasses the provision of legal services, reviewing and proofreading documents, communicating with internal and external stakeholders, coordinating multiple aspects of legal projects, and understanding and overseeing deadlines. The Contracts Specialist will receive and prepare sensitive and highly confidential material, including transaction documents, contracts, litigation materials, strategic planning materials, and other legal matters.

Position Reports To: Vice President General Counsel

Essential Functions

  1. Assist with the Legal Department’s provision of legal services including the following:
    • Draft and update legal documents under the direction of the General Counsel.
    • Independently prepare legal documents from templates.
    • Prepare, review and edit contracts and correspondence, including, but not limited to, service agreements, purchase agreements, education affiliation agreements, nondisclosure agreements, clinical services agreements, real estate contracts, amendments, and consents to assign, using templates or otherwise.
  2. Provide direction and support to a variety of internal business teams in contract negotiations, including the preparation, revision, and negotiation of contracts that will including NDAs, services agreements, statements of work, purchase agreements, amendments, with attorney input as needed.
  3. Assist with litigation matters including handling and coordination of all outside legal requests, e.g., subpoenas, requests for physician testimony, and discovery requests, including providing notifications to concerned parties, tracking responses, and ensuring compliance with discovery requirements and hearing.
  4. Participate in project workgroups with internal and external clients to collaborate, acquire information, responsible for managing multiple tasks with competing priorities and deadlines.
  5. This position also requires a commitment to professionalism, superior customer service to internal and external customers, attention to detail, and ability to exercise a significant degree of independent judgment and discretion on a routine basis.
  6. Assist with legal team process improvement initiatives.
  7. Conduct research on relevant laws, regulations, and legal articles, as requested.
  8. Provide support to in-house attorney(s) for various projects as needed.
  9. Assist with the drafting, filing, and maintenance of corporate governance documentation and records for Confluence Health and its operating units.
  10. Responsible for general corporate and legal projects that require a high level of organizational skills, collaboration with other departments, and complex work product.
  11. Maintain understanding of the legal requirements for the organization.
  12. Perform other duties as assigned.

Qualifications

Required:

  • Bachelor’s Degree or Associate Degree in paralegal studies, or work experience equivalent.
  • 3-4 years’ experience in legal and/or regulatory work.
  • Proficient with all Microsoft Office products (Excel, Word, Outlook, and PowerPoint).

Desired:

  • 5 years of experience in contract drafting and other transactional legal work and litigation suppport.
  • Demonstrated experience reviewing, drafting and negotiating the legal terms of a broad range of standard commercial contracts.
  • Strong written and oral communication skills.
