Responsible for ensuring risk mitigation and smooth operations for sales contracting and contract management and supporting other departments as needed. Primary responsibility is reviewing, editing, and negotiating contracts in accordance with YESCO's procedures and with the assistance of YESCO's legal counsel and contract review drafting software. Acts as the primary contracts liaison between the operations management and YESCO's legal counsel. Key Responsibilities Contractual Analysis: Performing deep-dive reviews of third-party contracts (AIA, AGC, etc.) to identify unfavorable terms regarding indemnification, payment terms, and scope creep. Redlining & Negotiation: Drafting standard and non-standard amendments; negotiating directly with customer/vendor legal representatives to align contracts with YESCO's risk tolerance. Internal Advisory: Translating complex legal jargon into clear "business-risk" summaries for sales and operations management to facilitate informed decision-making. Compliance and Risk Management: Ensuring contracts meet legal, regulatory, licensing, and company requirements; identifying potential risks and proposing mitigation strategies. Contract Compliance:Ensuring that insurance, licenses, and other legal requirements are met prior to contract execution. Performance Monitoring: Tracking deliverables, deadlines, and renewals. Record Keeping: Maintaining organized, permanent files of all sales contracts and related documentation. Communication: Acting as the central point of contact for contract-related issues, explaining terms to stakeholders. Independent Work: Work independently while understanding the necessity for communicating and coordinating work efforts with other employees, organizations, and management. All other duties as assigned. Required Skills and Qualifications Attention to Detail: High accuracy in reviewing complex legal and business documents. Communication & Negotiation: Strong verbal and written skills for working with internal/external stakeholders. Legal & Technical Knowledge: Understanding of contract law, liability, insurance, and procurement processes. Ability to interpret and negotiate AIA, AGC, and similar construction forms. Organizational Skills: Ability to manage multiple projects, deadlines, and records simultaneously. English Proficiency: Must have the ability to communicate the English language, both verbally and in writing, in an effective and highly proficient manner. Independence: Proven ability to think independently and handle multiple projects through to completion. Professionalism: Ability to handle stressful situations and competing demands with the highest integrity. Experience maintaining confidentiality of sensitive material and communications. Clean, neat, and professional personal business appearance. Computer Skills: Ability to operate and use various office equipment, ability to work with computers, proficient in standard business office software such as Google Workspace, MS Excel, MS Word, Netsuite, Adobe Acrobat, and Docusign, including the ability to redline documents. Familiarity with prompting AI software. Proficient and accurate typing skills. Education: A Bachelor's degree in Construction Management, Law, Finance, or Business is strongly preferred. However, candidates who demonstrate an equivalent level of contractual literacy and professional standingsuch as through significant experience in contract administration, claims management, or dispute resolutionwill be considered. Experience: Senior-level (typically ten plus years) of combined experience in construction project management, contract administration/management, and/or procurement management. Experience in reviewing and administering contracts for commercial construction. Experience in procuring insurance certificates and understanding of common insurance coverages in construction projects. Experience working directly with Subcontractors, Project Managers, and Suppliers. Construction contract preparation and experience working with contract/subcontract laws.
