Job Summary:

The Contract Analyst, under the direction and supervision of the Legal Director, performs complex and specialized duties related to contract review for a wide variety of services provided by IES to its customers. The Contract Analyst is primarily responsible for reviewing and editing contracts to ensure compliance with IES objectives, collaborating with internal departments on contract terms and conditions, and managing contracts.

Job Duties and Responsibilities:

  1. Contract Review and Analysis: Thoroughly review and analyze contracts, including construction agreements, subcontractor agreements, purchase orders, and other legal documents related to construction projects. Ensure that the terms and conditions are accurately reflected, identify potential risks or issues, and assess compliance with legal and company requirements.
  2. Contract Negotiation Support: Collaborate with the legal team, sales team, project managers, and other stakeholders to provide support during contract negotiation processes. Help identify areas for negotiation, propose modifications to contract terms, and ensure that contracts align with the company's objectives and mitigate potential risks.
  3. Contract Administration: Assist with the administration and management of contracts throughout their lifecycle. This includes tracking contract deliverables, deadlines, and milestones, ensuring compliance with contractual obligations, and monitoring contract amendments, renewals, and terminations.
  4. Risk Assessment and Mitigation: Identify and assess legal and contractual risks associated with contracts and construction projects. Work closely with the Legal Director, legal team, and other stakeholders to develop strategies for mitigating risks and ensuring contractual compliance. Advise on potential contractual disputes and help develop resolutions.
  5. Compliance Monitoring: Assist Legal Director and legal team with monitoring contract compliance with regulatory requirements, industry standards, and internal policies. Stay updated on relevant laws, regulations, and contractual obligations impacting the construction industry, such as building codes, safety regulations, and environmental requirements.
  6. Reporting and Documentation: Prepare reports, summaries, and updates on contract statuses, key terms, and compliance issues. Maintain accurate records of contract-related communications, amendments, and correspondence.
  7. Contract Templates and Standardization: Assist Legal Director in development of standardized contract templates and clauses to streamline contract processes, ensure consistency, and minimize legal risks. Collaborate with the legal team to update templates in accordance with changes in laws and industry best practices.

Education, Certification, License, and Skill Requirements:

  • Associate’s degree in business or legal-related field of study; or Paralegal Certificate; or Accredited Legal Professional Certification; or equivalent.
  • Not required but prefer bachelor’s degree in business or legal-related field of study.
  • Working knowledge of construction contractual agreements; minimum of 2 years’ experience as contract analyst preferred.
  • A keen eye for detail.
  • Must be able to work independently.
  • Must possess strong process management skills.
  • Must be proficient with Microsoft Office (Word, Excel, etc.), Adobe, and general business software.
