Job Description: Senior Contracts Manager for LegalUS/Canada/LAC Skills and Attributes:
  • Directs and supervises the work of paralegals and contract administrators
  • Monitors work and reports on progress
  • Responsible for ensuring that paralegals meet contract and attorney requirements and deliver work on time
  • Troubleshoots and performs quality control spot checks
  • Formulate administrative and technical procedures for getting work done
  • Reports to Regional Managing Counselhas significant contact with North America and global teams.
  • Performs legal and factual research
  • Designs and develops systems and procedures for tracking, controlling, and managing case files, exhibits, and other case-specific materials
  • Assist regional counsel and other attorneys with review, revision, preparation, and advice on legal documents, including NDAs, construction, consulting, vendor, subcontractor, MSAs, teaming, joint venture, and other commercial agreements.
  • Insuranceadvise, review, and revised insurance requirements and language in contracts. Manage insurance administrative functions.
  • Assist in management and maintenance of contact databases, reviewing and summarizing contractual obligations.
  • Coordinate communication amount internal teams, external parties, and legal counsels
  • Assist with tasks such as contract data gathering, project management and tracking, deadline management and administrative processes
  • Assist counsel, business partners, and global legal team with commercial transactions
Qualifications:
  • At least 10 years of commercial paralegal experience
  • At least 2 years of insurance experience
  • Must have supervisory experience, including proven capabilities and communication skills to successfully interact with clients and attorneys
  • Requires working knowledge of commercial contract documents, including identifying commercial and legal risks in contracts, legal software, and case management systems
  • Requires excellent written and oral communication skills
  • Familiar with legal research tools such as LEXIS/WESTLAW
  • Must have hands-on familiarity with a variety of computer applications, including word processing, databases (such as document review and file management systems), PowerBI, Excel spreadsheets, Microsoft Outlook, TEAMS, and PowerPoint.
  • Ability to consistently deliver highest quality work under extreme pressure will be very important
  • Required Paralegal certificate
  • Written and verbal fluency in Spanish, will be a plus
Other information/alternative language that may be included or made part of the Job Description Work cross-functionally in a fast-paced, global consultancy navigating contracts, regulations, and
internal processes. Work directly with ERMs business leaders to establish a broad range of
complex consulting contracts with Fortune 500 and global enterprise Technology, Renewable
Energy, Financial, Healthcare, Pharmaceutical, Power, Manufacturing and Chemical companies.
Review a wide range of commercial contracts in support of ERMs offering of
environmental and sustainability services. Reviews include framework services
agreements, licensing agreements, complex subcontractor agreements, SaaS base terms
and conditions, data protection provisions, and IP protections.
Skilled proficiency in contract writing, reviewing, and auditing pursuant to the
organizational and legal team standards.
Manage a team of Contracts analysts/paralegals and work closely with Global legal team, including the attorneys, paralegals, and contract analysts and administrators to ensure
that reviews and approvals are carried out in a timely manner and in accordance with
ERMs policies and procedures.
Provide training and legal advice on contract and risk management to members of the
legal team as well as all levels of business leadership in multiple LAC, U.S. and Canada business
units and internationally.
Negotiate contract issues with clients, subcontractors, suppliers, and other parties as may
be required.
Responsibilities include team management, contract management, review, tracking,
compliance, risk-management and internal compliance, analysis, and negotiation of key
legal, risk management and commercial contract issues.
Lead and implemented a contract tracking system and introduced multiple contract
drafting guides.
Part of post-acquisition integration team for newly acquired companies. Provide guidance
and training regarding existing processes and procedures.
Assist Risk, Insurance, Human Resources, IT and Privacy, Health and Safety,
and Compliance with legal matters as they arise.
